These Terms & Conditions ("CPP Terms") govern participation in the VerseIn Creator Partner Program ("CPP" or "Program").
The Program is operated by Zuler Technology Pte. Ltd. ("VerseIn", "we", "our", or "us").
These CPP Terms are a standalone agreement specific to the Program. By applying to participate, accepting admission to the Program, accessing the VerseIn platform under the Program, or submitting any Creator Output, you ("Creator" or "Participant") agree to be bound by these CPP Terms. These CPP Terms govern your participation in the Program in full; VerseIn's general Terms of Service continue to apply to your use of the VerseIn platform generally, but where a conflict exists between these CPP Terms and the general Terms of Service on matters of Program participation, these CPP Terms control. If you do not agree to these CPP Terms, you must not participate in the Program.
1. Program Overview
The VerseIn Creator Partner Program is an application-based creator collaboration initiative under which admitted Creators are granted a scoped commercial license to use the VerseIn platform to create and publish content promoting VerseIn and/or their own personal or professional channels, in exchange for Program benefits described in Section 6.
2. Eligibility and Participation
Participation in the Program is open to individuals who submit an application and are admitted following VerseIn's review, and is available only to individuals who are legally capable of entering into binding agreements under applicable law. VerseIn will review applications against Program criteria communicated at the time of application, and may admit, decline, or place an application on hold at its discretion. An applicant who is not admitted is welcome to reapply once they meet the minimum requirements communicated to them. Admission to the Program does not guarantee continued participation: the Creator agrees to provide accurate information when requested and to comply with these CPP Terms and any Program guidelines communicated by VerseIn, and VerseIn may approve, decline, suspend, restrict, or terminate participation at any time, with or without notice, for the reasons described in Section 11. Participation in the Program is a privilege and not a right.
3. Scope of Licensed Use
Subject to these CPP Terms, VerseIn grants the Creator a limited, non-exclusive, non-transferable, revocable license to use the VerseIn platform, during the term of their participation in the Program, for the following purposes only ("Permitted Use"):
(a) creating content that features, demonstrates, reviews, or otherwise promotes VerseIn or its products, for posting on the Creator's own social media, portfolio, or professional channels; and
(b) creating content for the Creator's own personal or professional channel where VerseIn is used as a creative tool and reasonably identifiable as such (e.g., through captioning, tagging, or on-screen attribution consistent with Program guidelines).
Permitted Use expressly excludes: (i) creating deliverables for the Creator's own clients, customers, employers, or third-party brands as paid or unpaid work-for-hire; (ii) reselling, sublicensing, or otherwise monetizing access to the VerseIn platform itself; (iii) white-labelling, reselling, or redistributing VerseIn's underlying technology or outputs as though they were the Creator's own tool or service; and (iv) any use that would fall under "commercial purposes" as prohibited by the general Terms of Service, other than the Permitted Use expressly carved out in this Section. For the avoidance of doubt, free Program subscription and credits are provided solely to enable Permitted Use and may not be used to fulfil unrelated commercial or client work.
VerseIn may revise the scope of Permitted Use or issue Program guidelines from time to time by posting the revised Permitted Use terms or Program Guidelines. VerseIn's Program Guidelines — including required attribution formats (such as designated hashtags, link-in-bio requirements, or on-screen captioning), current admission criteria, and content quality standards — are published or communicated to Creators separately from these CPP Terms and are incorporated into these CPP Terms by reference. VerseIn may update Program Guidelines from time to time without amending these CPP Terms, provided the update is consistent with the scope of Permitted Use set out in this Section.
Creator Output and any content published under Permitted Use must comply with Section 10.3 (Prohibited Use) of VerseIn's general Terms of Service, including its prohibitions on sexually explicit or exploitative content, hateful or discriminatory content, content promoting violence or self-harm, and content depicting minors inappropriately. A violation of Section 10.3 in connection with the Program constitutes a material breach of these CPP Terms and grounds for immediate suspension or termination under Section 11, in addition to any consequences under the general Terms of Service.
4. Ownership and License-Back
As between VerseIn and the Creator, the Creator retains ownership of the content they create using the VerseIn platform in connection with the Program ("Creator Output"), subject to the licenses granted to VerseIn below and to any underlying rights VerseIn holds in the platform, models, and generative technology itself.
4.1 Marketing and Promotional License
The Creator grants VerseIn a worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, edit, repurpose, distribute, and publicly display the Creator Output, in whole or in part and across any format or medium now known or later developed, for VerseIn's marketing, promotional, and advertising purposes, including on VerseIn's own channels, in advertising, and with Program partners.
This license begins upon the Creator's submission of the relevant Creator Output and continues through the Creator's participation in the Program and for two (2) years following the end of such participation, after which it automatically expires.
This license is sublicensable solely to VerseIn's own advertising, marketing, and distribution partners engaged to exploit Creator Output on VerseIn's behalf (e.g., paid media platforms, app stores, marketing or creative agencies), provided such partners are (i) bound by confidentiality and use restrictions no less protective than those set out in these Terms, and (ii) subject to a sublicense term no longer than VerseIn's own license under this Section 4.1.
If, after this license expires, a Creator identifies their Creator Output still in use under this Section 4.1, the Creator may notify VerseIn in writing, and VerseIn will use commercially reasonable efforts to remove such Creator Output, and to instruct any relevant sublicensee to do the same, within thirty (30) days of receiving notice.
4.2 Explore Platform License
If a Creator publishes Creator Output to VerseIn's "Explore" page, they grant VerseIn a worldwide, royalty-free license to display it on Explore and let other users reuse it as a template, for as long as it stays published.
Un-publishing removes it from Explore going forward — new users can't recreate from it. Content other users already made from it beforehand is unaffected and may remain available.
VerseIn may request reasonable attribution to the Creator when using Creator Output under this Section 4 but is not obligated to provide attribution, and the absence of attribution shall not constitute a breach of these CPP Terms or entitle the Creator to compensation beyond what is set out in Section 6.
The Creator shall not represent themselves as an employee, affiliate, agent, reseller, or authorized representative of VerseIn, nor engage in referral, affiliate, or promotional activity on VerseIn's behalf beyond the Permitted Use, without prior written approval.
5. Creator Representations and Warranties
The Creator represents and warrants that they have the legal authority to enter into these CPP Terms and participate in the Program, that such participation does not violate any applicable law or agreement they are subject to, and that all Creator Output is lawfully created and does not knowingly infringe any third-party rights. The Creator remains solely responsible for all content and deliverables they submit or publish through the Program, including compliance with applicable advertising-disclosure and endorsement laws (e.g., clearly disclosing the material connection with VerseIn where required).
6. Program Benefits
Program benefits (including any free subscription, credits, or other perks) are provided at VerseIn's discretion in connection with the Creator's participation and Permitted Use under the Program. Participation does not guarantee any cash payment, compensation, or future engagement beyond the benefits described at the time of admission, unless separately agreed in writing. VerseIn may withhold, reduce, suspend, or discontinue Program benefits in the event of a breach of these CPP Terms, misuse of the platform, or as otherwise permitted under Section 11.
7. Confidentiality
During the course of the Program, the Creator may receive or have access to confidential or proprietary information relating to VerseIn, including its products, technology, roadmaps, internal processes, and business strategies ("Confidential Information"). The Creator agrees to keep Confidential Information strictly confidential, not disclose it to any third party without VerseIn's prior written consent, and use it solely to participate in the Program. Information VerseIn expressly authorizes for public or promotional use is not Confidential Information to that extent. These confidentiality obligations survive termination of the Program.
8. Indemnification
The Creator shall defend, indemnify, and hold harmless Zuler Technology Pte. Ltd. and its directors, officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from the Creator's breach of these CPP Terms, infringement of third-party rights in Creator Output, or violation of applicable law in connection with the Program.
9. Limitation of Liability
Participation in the Program is voluntary and at the Creator's own discretion. To the maximum extent permitted by law, VerseIn shall not be liable for any indirect, incidental, or consequential loss arising from the Creator's participation in the Program or use of the platform under these CPP Terms. The Program and platform are provided on an "as-is" and "as-available" basis without warranties of uninterrupted availability or performance.
10. Non-Circumvention
During participation in the Program and for twelve (12) months thereafter, the Creator shall not directly or indirectly solicit or engage any customer, partner, or business contact introduced to them by VerseIn through the Program for the purpose of bypassing VerseIn, except for general business activity wholly independent of any introduction made through the Program.
11. Suspension and Termination
VerseIn may suspend or terminate a Creator's participation in the Program at any time, with or without cause, with reasonable notice where practicable (except in cases of suspected breach, fraud, or platform misuse, where immediate suspension may apply). Upon termination, the Creator's Permitted Use license under Section 3 ends immediately; the licenses VerseIn holds in existing Creator Output under Sections 4.1 and 4.2 survive termination, subject to the expiration and removal terms set out in those Sections. Any unpaid Program benefits accrued but not yet provided may be forfeited in the event of termination for breach.
12. Amendments
VerseIn may amend these CPP Terms at any time by posting the revised version on its website with an updated "Last updated" date. VerseIn may, at its discretion, provide additional notice of amendments through other channels (such as email or community platforms), but is under no obligation to do so. Continued participation in the Program following the effective date of any amendment constitutes acceptance of the revised CPP Terms.
13. Governing Law and Jurisdiction
These CPP Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of laws rules. Any dispute arising out of or relating to these CPP Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, save that VerseIn may seek injunctive relief in any court to protect its intellectual property rights, consistent with the dispute resolution approach in VerseIn's general Terms of Service.
14. Entire Agreement
These CPP Terms constitute the entire agreement between the Creator and VerseIn with respect to participation in the Program and supersede all prior discussions relating to the Program, except that VerseIn's general Terms of Service continue to govern matters not addressed here, as set out in the preamble.
15. Electronic Acceptance
By registering, applying, accepting admission, or participating in the VerseIn Creator Partner Program, the Creator acknowledges that they have read, understood, and agree to be bound by these CPP Terms, as amended from time to time, without the need for a separate signature.
